1. About these Terms
These Terms of Service (“Terms”) are a legally binding agreement between you (“you”, “subscriber”) and Edos Solutions Pty Ltd (ACN 113 606 410, ABN 39 113 606 410) trading as InstaQuotes (“InstaQuotes”, “we”, “us”). These Terms govern your access to and use of the InstaQuotes platform, including all software, services, and content made available through instaquotes.com.au.
These Terms are governed by the laws of New South Wales, Australia. If there is any inconsistency between these Terms and the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)), the Australian Consumer Law prevails to the extent of the inconsistency.
2. Definitions
In these Terms:
- “Account” means the account you register to access InstaQuotes.
- “Add-On Credits” means one-time credit purchases of 10 additional quotes for A$15, as described in section 8.
- “Customer Portal” means the Stripe-hosted portal through which subscribers manage their subscription.
- “Effective Date” means the date you accept these Terms by completing account registration.
- “Platform” means the InstaQuotes web application, APIs, and all associated software and services.
- “Quote Output” means any cost estimate, quote breakdown, or document generated by you using the Platform.
- “Schedule 1” means the schedule of subscription plans appended to these Terms.
- “Subscription” means a recurring paid plan as described in Schedule 1.
- “Trial” means the free trial period described in section 7.
3. Eligibility and account registration
By registering for InstaQuotes, you warrant that:
- you are at least 18 years of age;
- you are acquiring the Platform for business purposes and not for personal, domestic, or household use;
- you have authority to bind the business entity on whose behalf you are registering (if applicable);
- all information you provide during registration is accurate and current; and
- you have the authority to share any personal information about third parties that you submit to the Platform.
You must keep your account credentials confidential. You are responsible for all activity on your Account. If you become aware of unauthorised access, notify us immediately at support@instaquotes.com.au.
4. The Platform
InstaQuotes is an AI-assisted cost-estimation tool for Australian tradespeople. The Platform enables subscribers to generate structured quote breakdowns (including materials, labour, and line items) from text descriptions, photographs, or engineering drawings.
InstaQuotes does not process payments between subscribers and their end clients. The Platform is a quoting tool only. Subscribers are solely responsible for the commercial relationship with their end clients, including pricing, payment, and contractual terms.
We grant you a limited, non-exclusive, non-transferable licence to access and use the Platform during the term of your Subscription, solely for the purposes described in these Terms.
5. Subscription plans and billing
Subscriptions are available on the plans described in Schedule 1. By subscribing, you authorise InstaQuotes to charge your payment method via Stripe on a recurring basis at the frequency (monthly or annual) you select.
- Monthly quote allowances reset at the start of each billing cycle. Unused allowances do not roll over.
- Subscription charges are billed in advance at the start of each billing period.
- Prices are in Australian dollars and include GST where applicable.
- We may change Subscription pricing by updating Schedule 1 with at least 14 days’ notice to existing subscribers. Continued use after the effective date constitutes acceptance of the new pricing.
Stripe Customer Portal. Subscription management — including changing your plan, updating payment methods, viewing invoices, and cancelling your subscription — is handled through the Stripe Customer Portal, hosted and operated by Stripe, Inc. Your use of the Customer Portal is subject to Stripe’s terms of service and privacy policy. InstaQuotes does not store or have access to your payment card data; all payment information is held and processed by Stripe.
6. Annual plans
Annual plans are charged as a single upfront payment covering 12 months of access. Annual pricing is set out in Schedule 1. Annual plans auto-renew at the then-current annual rate unless cancelled before the renewal date. Refund terms for annual plans are set out in the Refund Policy.
7. Free trial
New subscribers receive a free trial period of 7 days or 7 quotes generated, whichever comes first. No payment method is required to start the Trial.
- The Trial begins when you complete account registration.
- You will be prompted to subscribe to a paid plan when the Trial ends or the 7-quote limit is reached, whichever comes first.
- There is no charge during the Trial. If you subscribe and are subsequently charged, the 7-day money-back guarantee in the Refund Policy applies from the date of the first paid charge.
- We reserve the right to modify or discontinue Trial terms at any time by updating these Terms with at least 7 days’ notice.
8. Add-on credit purchases
Subscribers may purchase Add-On Credits of 10 additional quotes for A$15 as a one-time charge via Stripe. Add-On Credits:
- do not expire and remain on your Account across billing cycles;
- are available even if your Subscription is subsequently cancelled, provided your Account remains active;
- are not transferable and may not be resold;
- are consumed before your monthly Subscription allowance.
Refund terms for Add-On Credits are set out in the Refund Policy.
9. Cancellation
You may cancel your Subscription at any time through the Stripe Customer Portal or by emailing support@instaquotes.com.au.
- Cancellation stops future renewals.
- You retain access to InstaQuotes until the end of the billing period already paid for.
- We do not pro-rata refund the unused portion of a billing period on cancellation.
- Unused Add-On Credits remain on your Account and are available if you resubscribe.
10. Refunds
Our refund policy is set out in the InstaQuotes Refund Policy, which forms part of these Terms. In summary:
- A 7-day money-back guarantee applies to the first paid charge after the Trial ends.
- Add-On Credits are refundable within 7 days of purchase if no credits from that purchase have been used.
- Your rights under the Australian Consumer Law are not affected by our refund policy.
11. Acceptable use
Permitted use. Your licence to use the Platform is limited to generating quotes issued under your own trading name or ABN to your own end clients. Multi-user access under a Tier 3 (unlimited) Subscription is permitted for employees, directors, and contractors engaged by the same legal entity as the subscriber, as identified by the ABN provided at registration.
Access may not be extended to any other legal entity, including related bodies corporate, franchisees, or contractors operating under a separate ABN. Each separate legal entity requires its own Subscription.
Prohibited conduct. You must not:
- scrape, crawl, or systematically extract data from the Platform;
- resell, sublicence, or otherwise commercialise access to the Platform;
- resell or transfer unused Add-On Credits to any third party;
- use Quote Outputs as a professional guarantee of final pricing to your end clients;
- upload content that is unlawful, defamatory, obscene, or that infringes a third party’s intellectual property rights;
- submit support messages or other communications that are abusive, threatening, harassing, or unlawful;
- use the Platform to generate quotes for projects you have no legitimate business interest in;
- attempt to reverse-engineer, decompile, or extract the source code of the Platform;
- circumvent any security, access control, or rate-limiting mechanism of the Platform; or
- use the Platform in a manner that violates any applicable law or regulation.
Third-party personal information. If you submit support messages or other content that includes personal information about third parties (including your clients, subcontractors, or employees), you warrant that you have authority to share that information with InstaQuotes. You indemnify Edos Solutions Pty Ltd against any claim, loss, or liability arising from your unauthorised disclosure of third-party personal information through the Platform.
12. AI-generated estimates — important limitations
InstaQuotes generates cost estimates using AI-assisted processing. These estimates are indicative only and do not constitute professional, financial, trade, or any other form of advice. They are a starting point for your own assessment, not a substitute for it.
You are solely responsible for:
- reviewing all line items in every Quote Output before use;
- verifying costs against current market rates, supplier pricing, and applicable award rates;
- applying your own margin, markup, and profit calculation;
- confirming the accuracy and completeness of every quote before sending it to your end client; and
- all commercial consequences of any quote you send to an end client.
InstaQuotes makes no warranty that AI-generated estimates will match real-world costs. Variation between an InstaQuotes-generated estimate and actual costs — however significant — is not grounds for a refund, compensation, or claim of any kind against InstaQuotes or Edos Solutions Pty Ltd, to the fullest extent permitted by law.
13. Intellectual property
InstaQuotes and all associated software, design, algorithms, trademarks, and content are owned by or licensed to Edos Solutions Pty Ltd. Nothing in these Terms transfers ownership of any InstaQuotes intellectual property to you.
You retain ownership of the Quote Outputs you create and finalise using the Platform. By using the Platform, you grant InstaQuotes a limited licence to process your inputs (including job descriptions, photos, and drawings) solely for the purpose of generating your Quote Outputs and providing the service.
You must not represent Quote Outputs as having been prepared by a licensed professional or as constituting formal trade quotes binding on InstaQuotes.
14. Privacy and admin access
Your use of InstaQuotes is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
Authorised Edos Solutions staff may access your Account for the purposes of customer support, troubleshooting, account maintenance, security investigation, and compliance with legal obligations. You will be notified when such access occurs. All admin access events are recorded in our audit log.
15. Limitation of liability
To the fullest extent permitted by law, InstaQuotes’ total liability to you for any claim arising out of or in connection with these Terms or your use of the Platform is limited to the greater of:
- the total Subscription fees and Add-On Credit charges paid by you in the 12 months immediately preceding the event giving rise to the claim; or
- A$100.
To the fullest extent permitted by law, InstaQuotes is not liable for:
- any indirect, consequential, special, or incidental loss or damage;
- loss of profit, revenue, business, data, or goodwill;
- loss arising from your reliance on any AI-generated Quote Output; or
- loss arising from the acts or omissions of third-party sub-processors.
Nothing in these Terms excludes, restricts, or modifies any right or remedy you have under the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement.
16. Indemnity
You indemnify and hold harmless Edos Solutions Pty Ltd, its directors, employees, and agents from and against any claim, loss, damage, liability, cost, or expense (including reasonable legal costs) arising from:
- your use of the Platform in breach of these Terms;
- any Quote Output you send to an end client;
- your breach of any applicable law or third-party right; or
- your unauthorised disclosure of third-party personal information through the Platform.
17. Suspension and termination
Termination by you. You may terminate your Account at any time by cancelling your Subscription through the Customer Portal and requesting account deletion at support@instaquotes.com.au.
Suspension or termination by InstaQuotes. We may suspend or terminate your Account immediately if:
- you breach these Terms and fail to remedy the breach within 7 days of written notice;
- you engage in fraudulent, abusive, or unlawful conduct;
- a chargeback or payment dispute is initiated (suspension pending resolution);
- you use the Platform in a manner that creates legal or reputational risk for InstaQuotes; or
- we are required to do so by law or regulatory authority.
Effect of termination. On termination for cause by InstaQuotes, any unused Add-On Credits are forfeited without refund. On termination without cause by InstaQuotes, we will provide a pro-rata refund of unused Add-On Credits at the purchase price. Termination does not affect any rights or liabilities that accrued before the date of termination.
18. Force majeure and third-party provider failures
InstaQuotes will not be liable for service failures, delays, or interruptions caused by the acts or omissions of third-party providers (including OpenAI, Anthropic, Stripe, Supabase, Vercel, and other sub-processors listed in our Privacy Policy), or by circumstances beyond our reasonable control including telecommunications failures, natural disasters, government action, or widespread internet outages. We will use reasonable endeavours to restore service promptly in such circumstances.
Where a third-party failure constitutes a major failure of a consumer guarantee under the Australian Consumer Law, your rights under that law are not affected.
19. Changes to the Platform and these Terms
We may modify the Platform, add or remove features, and update these Terms from time to time. We will provide at least 14 days’ notice to existing subscribers of material changes to these Terms. Your continued use of the Platform after the effective date of any change constitutes acceptance of the updated Terms.
20. Dispute resolution
If you have a complaint, please contact us first at support@instaquotes.com.au. We will endeavour to resolve your complaint within 10 business days.
If a dispute cannot be resolved through our support process, either party may refer the matter to the courts of New South Wales, Australia, or — where the claim falls within the relevant monetary threshold — to the NSW Civil and Administrative Tribunal (NCAT).
21. Governing law
These Terms are governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales.
22. General
- Entire agreement. These Terms, together with the Privacy Policy, Refund Policy, and Schedule 1, constitute the entire agreement between you and InstaQuotes with respect to the Platform.
- Severability. If any provision of these Terms is unenforceable, it is severed to the minimum extent necessary and the remaining provisions continue in full force.
- No waiver. Failure to enforce any provision of these Terms is not a waiver of the right to enforce it in the future.
- Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to a successor entity with 30 days’ notice.
- Notices. Notices to InstaQuotes must be sent to support@instaquotes.com.au. Notices to you will be sent to the email address on your Account.
